Terms of Service

1. Agreement to Terms

By accessing or using VibeBase ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

VibeBase provides a Backend as a Service platform specifically designed for AI agents, enabling seamless data storage and management through the Model Context Protocol (MCP).

2. Account Terms

• You must be 13 years or older to use this Service.
• You must provide a valid email address to create an account.
• You are responsible for maintaining the security of your account and API keys.
• You are responsible for all activity that occurs under your account.
• You may not use the Service for any illegal or unauthorized purpose.
• You must not, in the use of the Service, violate any laws in your jurisdiction.

3. API Usage and Rate Limits

Your use of the VibeBase API is subject to rate limits based on your subscription tier:

• Free Tier: 10,000 requests per 24 hours
• Pro Tier: 1,000,000 requests per 24 hours
• Team Tier: 10,000,000 requests per 24 hours

Exceeding rate limits may result in temporary suspension of API access. We reserve the right to modify rate limits with reasonable notice.

You must not attempt to circumvent rate limits through multiple accounts or other means.

4. Payment Terms

• Paid subscriptions are billed in advance on a monthly or annual basis.
• All fees are non-refundable except as required by law.
• Prices are subject to change with 30 days notice for existing subscribers.
• Failure to pay will result in suspension or termination of your account.
• Downgrading your plan may cause loss of features or data.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy.

• You retain all rights to the data you store in VibeBase.
• We do not claim ownership of your data.
• You are responsible for ensuring you have the right to store and process the data you upload.
• We may access your data only as necessary to provide the Service or comply with law.
• You may export or delete your data at any time through the dashboard.

6. Acceptable Use Policy

You agree not to use the Service to:

• Store or transmit malicious code, viruses, or harmful content
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Harass, abuse, or harm another person
• Spam or send unsolicited communications
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to the Service
• Reverse engineer or attempt to extract source code
• Resell or redistribute the Service without permission

7. Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Service.

• We may perform scheduled maintenance with advance notice.
• Emergency maintenance may occur without notice.
• We are not liable for any loss of data or service interruptions.
• We recommend maintaining backups of critical data.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by VibeBase and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without explicit written permission.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Non-payment of fees
• Suspicious or fraudulent activity
• Request by law enforcement
• Extended periods of inactivity

You may cancel your account at any time through the dashboard. Upon termination:

• Your right to use the Service will immediately cease
• Your data will be deleted within 30 days unless required by law
• You should export any data you wish to retain before cancellation

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL VIBEBASE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Unauthorized access to or alteration of your data
• Statements or conduct of any third party on the Service
• Any other matter relating to the Service

11. Indemnification

You agree to indemnify, defend, and hold harmless VibeBase and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your data or content stored in the Service

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service.

Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which VibeBase operates, without regard to its conflict of law provisions.
